Chapter 03 - The Merger Julian Needed
Hawthorne Biotech had developed a gene therapy called Ardent.
The treatment was designed for a rare childhood muscle disorder. Early results were promising, but internal reports showed serious immune complications in several patients.
Samuel wanted the trial paused.
Julian had already negotiated a merger with Vale Therapeutics worth four billion dollars. The deal depended on Ardent receiving accelerated approval without additional delay.
A pause would reduce the sale price.
It would also expose that Hawthorne executives had used charitable foundation money to pay families who remained quiet about adverse reactions.
Mara found the payments while auditing trial travel costs.
The money passed through three patient-support organizations, then returned as confidential settlement agreements. Some children had suffered complications never entered in the federal trial database.
Julian said the arrangements protected families from publicity.
Mara called them concealed safety data.
Samuel ordered her to prepare an independent report.
Two weeks later, Samuel fell from the upper landing of his private library.
Julian was the only person in the room.
He said Samuel became dizzy, reached for the railing and slipped.
The security cameras had stopped recording six minutes before the fall.
Samuel survived the initial impact but died in the hospital after a sudden cardiac event. His personal physician signed the death certificate before Mara could request an autopsy.
Julian became acting chairman.
His first instruction was to close the Ardent audit.
His second was to complete the Vale merger.
Mara refused both.
Julian responded by telling the board she was emotionally unstable after Samuel’s death. He said his father had treated her like a daughter, creating grief that distorted her judgment.
The board placed her on administrative leave.
At home, Julian alternated affection with pressure.
He promised they could rebuild the marriage if she signed a statement confirming the trial payments were legal. When she refused, he removed her access to joint accounts and instructed estate staff to report her movements.
Mara moved into the guest wing.
She copied every file Samuel had preserved.
The merger required signatures from Julian, Eleanor and Mara because Samuel’s final trust made the integrity director a temporary voting steward during unresolved safety investigations.
Julian could remove her only through resignation, incapacity or a signed withdrawal of the complaint.
The family dinner was arranged to obtain all three on paper.
