The Mercer Health board had met while Thomas lay conscious beneath sedation.

Vivian told directors he suffered irreversible brain damage. She presented the medical proxy, DNR and a physician’s statement from Shaw.

The board approved the Apex sale by one vote.

Three directors later claimed they felt pressured.

Two admitted they knew PulseOne liability might affect the transaction but believed Shaw had resolved the clinical questions.

One director, Dr. Maya Chen, voted no.

She had requested access to raw device data and was denied. After the meeting, her hospital credentials were suspended.

Maya preserved her emails.

They showed Vivian instructing the board not to contact Thomas’s bedside staff because “family privacy” required a single communication channel.

That rule prevented Hannah from warning directors.

The emergency court voided the sale.

Apex sued, claiming contractual damages.

Discovery exposed its internal plan to isolate PulseOne claims inside an underfunded subsidiary named P1 Legacy Care.

The name sounded compassionate.

Its projected budget could not cover even ten serious injuries.

Apex executives called the structure standard risk management.

Families called it abandonment.

Thomas addressed the board by video after regaining enough speech.

He did not ask for loyalty.

He asked each director to disclose what they knew, when they knew it and which pressures influenced the vote.

Several resigned.

Maya Chen became interim chair under an independent oversight committee.

Evan expected to receive his father’s seat.

Thomas opposed it.

“You are my son,” he said slowly. “That is not a qualification.”

The words hurt.

Evan stayed in the room.

Months earlier, he might have left.

Now he asked what qualification would look like.
